These Terms govern the use of Navi, a software platform for presenting and selling property developments. By creating an account, signing an Order Form, or using the Service, the Customer agrees to them. If you accept on behalf of a company, you confirm you are authorized to bind it.
1. Who we are
Navi is provided by DUŠAN STEVIĆ PR STUDIO ZA GRAFIČKI DIZAJN DARK ROOM STUDIO NIŠ, a sole proprietorship (preduzetnik) registered with the Serbian Business Registers Agency under registration number 64267485, tax ID (PIB) 109563027, registered address Božidarčeva 20/4, 18000 Niš, Serbia, trading as Navi (“Navi”, “we”, “us”). Contact: [email protected].
2. Business use only
The Service is offered only to businesses and professionals acting for business purposes, never to consumers. Consumer-protection rights that apply only to consumers, such as statutory withdrawal rights, therefore do not apply to subscriptions under these Terms.
3. Definitions
- Customer — the company that subscribes to Navi, usually a property developer or its exclusive sales agency.
- Authorized User — an employee, agent or contractor of the Customer whom the Customer allows to use the Sales workspace.
- Buyer — a prospective purchaser or other visitor who uses a property viewer the Customer publishes with Navi.
- Project — one development, which may include several buildings or release phases, published as one viewer.
- Unit — any apartment, house or commercial unit listed for sale in a Project’s inventory. Parking spaces and storage count only if they are listed as separately priced items.
- Customer Data — inventory, prices, plans, media, project information, lead and Buyer data, and any other content the Customer or its Authorized Users or Buyers submit to the Service.
- Deliverables — 3D models, renders, animations, tours and other visual materials that we produce for the Customer under a setup or production order.
- Order Form — a quote, order or online checkout that specifies the plan, fees, limits and any special terms.
- DPA — our Data Processing Addendum, which forms part of these Terms.
If an Order Form conflicts with these Terms, the Order Form prevails for that order. The DPA prevails on the processing of personal data.
4. Accounts and sign-in
Authorized Users can sign in with an email and password, with Google, or with Apple. The Customer is responsible for who it invites, for keeping credentials confidential, and for all activity under its workspace. Each seat is for one named person; seats may not be shared, but can be reassigned when someone leaves. Tell us immediately at [email protected] if you suspect unauthorized access.
When you sign in with Google or Apple, or connect Google Calendar, those providers’ own terms also apply to your use of their services, and our Privacy Policy explains what we receive from them.
5. The Service and plans
The Service includes the property viewer, the Sales workspace (inventory, CRM, calendar, dashboard) and, depending on the plan, AI features, streamed walkthroughs and integrations. Plan features and limits — Units per Project, seats, AI conversations, streaming hours — are those shown on our pricing page at the time of purchase or in the Order Form. One AI conversation is one Buyer’s visit to a viewer in which the AI assistant is used, regardless of how many messages are exchanged.
If the Customer exceeds a limit, we will notify it and the Customer can upgrade or pay the overage stated in its plan. We will not switch off the Buyer-facing viewer or the AI assistant without at least 7 days’ notice for exceeding a limit.
We may improve and change the Service. We will not materially reduce the core functionality of a paid plan during the current subscription term.
6. Navi’s role in property sales
Navi is a software tool. Navi is not a real-estate broker, agent, escrow agent, lender or advisor, is not a party to any transaction between the Customer and a Buyer, and does not hold, receive or transfer purchase money, deposits or escrow funds.
A unit shown as “reserved” in Navi is a record in the Customer’s inventory, not a contract. Any reservation agreement, deposit, purchase contract, disclosure, license requirement or escrow arrangement is between the Customer and the Buyer and is the Customer’s responsibility. Where the Service shows deposit or payment status, it only records information that the Customer or its escrow agent or payment provider supplies.
Price estimators, mortgage or affordability calculators and neighborhood data are illustrative tools configured by the Customer. They are not offers of credit, valuations or professional advice.
7. Customer responsibilities
The Customer is responsible for:
- the accuracy and timeliness of its inventory, prices, availability, floor plans and project information;
- the content and lawfulness of its marketing, including disclosures required where it sells, such as “artist’s impression” notices on renders, broker identification, flood or building disclosures, and fair-housing rules;
- giving Buyers its own privacy notice and obtaining any consents needed for the Buyer data it collects;
- holding all rights needed to give us the 3D models, drawings, photos and other materials it supplies, including permission from the architects or studios that created them;
- the conduct of its Authorized Users.
The Customer must not use the Service to break the law, send spam, discriminate unlawfully, infringe others’ rights, probe or overload the Service, or resell it without our written agreement.
8. AI features
The AI assistant answers questions using the inventory and project information the Customer has entered. It is designed to answer only from that information and to refer other questions to the Customer’s sales team, but like any AI system it can make mistakes. Answers are provided for information only and do not create offers or commitments on the Customer’s behalf.
The Customer can turn the Buyer-facing AI assistant off for any Project, and controls the information it draws on. We show Buyers that they are talking to an automated assistant and that prices and availability may change.
We do not use Customer Data, Buyer data or Google user data to train AI models, and our AI provider is contractually prohibited from doing so.
9. Setup and production services
If the Customer orders setup or production work, the Order Form sets out the scope, timeline and fee.
- Compatible assets. Setup is free if the Customer supplies assets that meet our published asset specification. We will review supplied assets within 5 business days and confirm in writing whether they are compatible, partly compatible (with a quoted conversion fee) or not compatible, before any setup fee becomes payable.
- Revisions. Each delivery includes the number of revision rounds stated in the Order Form, or two if none is stated. Further rounds are charged at the rates in the Order Form.
- Design changes. Changes to the building, layout or surroundings after the agreed asset freeze date are change orders, quoted separately; they are not revisions.
- Timelines. Delivery dates run from the date we confirm the assets are compatible and are extended by any delay in the Customer’s feedback or materials.
10. Fees, billing and taxes
Self-service plans are sold through our online reseller Paddle.com, which is the Merchant of Record for those orders. Paddle handles payment, invoicing, sales tax and VAT, and its buyer terms apply to the payment.
Invoiced plans and services are billed by us in USD, unless the Order Form says otherwise, payable by bank transfer within 30 days of invoice. The Customer pays any applicable taxes other than taxes on our income.
Subscriptions renew automatically for the same period unless canceled before the renewal date. We may change prices for a renewal term by giving at least 30 days’ notice. Late invoiced payments that remain unpaid 15 days after a reminder may lead to suspension under section 12.
Refunds are governed by our Refund Policy.
11. Term and cancellation
The Customer can cancel at any time in the workspace or by email. Cancellation stops the next renewal; the Service remains available until the end of the paid period. Either party may terminate for material breach that is not cured within 30 days of written notice. If we terminate without cause or for our own uncured breach, we refund prepaid fees for the unused period.
12. Suspension
We may suspend access only if it is necessary to address a security threat, a serious violation of section 7, a legal requirement, or invoiced fees overdue as described in section 10. Except where immediate action is needed to protect the Service, Buyers or third parties, we will give at least 10 days’ written notice and a chance to fix the problem, and we will limit the suspension to what is necessary. Suspension does not delete Customer Data.
13. Customer Data
The Customer owns its Customer Data. The Customer grants us a non-exclusive, worldwide, royalty-free license to host, copy, process, display and transmit Customer Data only as needed to provide and support the Service for the Customer. This license is not transferable and may be sub-licensed only to our sub-processors for that purpose.
We may create aggregated statistics about the use of the Service that do not identify the Customer, any individual or any Project, and use them to operate and improve Navi.
Export and deletion. The Customer can export its inventory, leads, activity history, audit trail and media at any time. After the subscription ends, Customer Data stays available for export for 30 days, then is deleted within the following 30 days, except copies in backups that are overwritten within 30 days and records we must keep by law.
14. Intellectual property
Platform. We own the Service, its software, design and documentation. The Customer receives a non-exclusive, non-transferable right to use the Service during its subscription.
Deliverables. Once the related fees are paid in full, the Customer receives a perpetual, worldwide, non-exclusive license to use, reproduce and display the Deliverables to market and sell the Project, in any medium, including after the subscription ends. On request after termination we will provide the Deliverables, including the 3D model in a standard format (FBX or OBJ) and the renders at full resolution. We keep the copyright in the Deliverables and may show them in our portfolio unless the Order Form says otherwise.
Attribution. A “Powered by Navi” mark appears in viewers on plans without white-label. White-label plans may remove it.
Feedback. We may use suggestions the Customer gives us without obligation.
15. Confidentiality
Each party will keep the other’s non-public information confidential, use it only for this agreement, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law.
16. Warranties and disclaimers
We will provide the Service with reasonable skill and care and in line with its documentation, and will maintain appropriate technical and organizational security measures. Any uptime commitment or service credits apply only if stated in an Order Form.
Apart from that, the Service is provided “as is”. We do not warrant that it will be error-free or uninterrupted, or that any sales result will be achieved. Visualizations are artistic representations of proposed buildings and are not guaranteed to match the finished building.
17. Indemnities
We will defend the Customer against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay the resulting damages and costs awarded or agreed in settlement.
The Customer will defend us against third-party claims arising from its Customer Data, its marketing, its dealings with Buyers, or any property transaction, and pay the resulting damages and costs.
The indemnified party must notify the other promptly, let it control the defense, and cooperate reasonably.
18. Limitation of liability
Neither party is liable for loss of profits, revenue, business or goodwill, or for indirect or consequential loss.
Each party’s total liability under these Terms in any 12-month period is limited to the fees the Customer paid or owed to us for the Service in the 12 months before the event giving rise to the claim, in US dollars. For breaches of our data-protection obligations under the DPA, this limit is two times that amount.
These limits do not apply to the indemnities in section 17, to the Customer’s obligation to pay fees, or to liability that cannot be limited by law, including liability for intentional misconduct or gross negligence.
19. Governing law and disputes
These Terms are governed by the laws of the Republic of Serbia, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Before starting proceedings, a party must give written notice of the dispute and both parties will try in good faith to resolve it for 30 days. Unresolved disputes go to the competent court in Niš, Serbia. Either party may seek urgent injunctive relief in any competent court. An Order Form may agree a different governing law, venue or arbitration.
20. Changes to these Terms
We may update these Terms. Material changes take effect 30 days after we notify the Customer by email or in the workspace. If the Customer does not agree, it may cancel before they take effect and receive a refund of prepaid fees for the remaining period. Changes do not apply to a term fixed in a signed Order Form until it renews.
21. General
Neither party may assign these Terms without the other’s consent, except to a successor of its business after notice. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to [email protected]; notices to the Customer go to the workspace owner’s email. These Terms, the Order Form and the DPA are the entire agreement on their subject. If a provision is unenforceable, the rest remains in effect.
